Agreement to these terms

These Terms of Service (the “Terms”) are an agreement between you and Parahuman LLC (“Parahuman,” “we,” “us,” or “our”), a Wyoming limited liability company, and govern your access to and use of our website, app, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

If you’re using Parahuman on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

What Parahuman does

Parahuman is an AI-powered social listening tool. It monitors publicly available content across social and web platforms for the keywords you choose, then surfaces relevant mentions with alerts and insights so you can join the conversation.

Your account

You must be at least 18 years old to use the Service. When you create an account, give us accurate information and keep it up to date. You’re responsible for keeping your login credentials confidential and for everything that happens under your account. Tell us right away if you suspect any unauthorized use.

Subscriptions, billing, and renewals

Paid plans are billed in advance through our payment provider, Polar, who acts as the merchant of record. Unless you cancel, subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate. Prices are shown on our pricing page and are exclusive of any applicable taxes.

We may change our prices. If we do, we’ll give you at least 30 days’ notice before the change applies to your renewal.

Free trial and free mentions

You can start using Parahuman without a credit card, and new accounts include a set number of free mentions to try the Service. We may change or end free offerings at any time.

Cancellation and refunds

You can cancel your subscription at any time from your account settings. When you cancel, your plan stays active until the end of the current billing period, and you won’t be charged again. Fees already paid are non-refundable except where required by law.

Acceptable use

You agree not to use the Service to:

• Break the law or infringe anyone else’s rights.
• Copy, resell, or redistribute the Service without our permission.
• Reverse-engineer, decompile, or attempt to extract our source code.
• Interfere with, overload, or disrupt the Service or its infrastructure.
• Use monitored mentions to harass, spam, or mislead people.
• Misrepresent Parahuman or use it to damage our reputation.

When you act on the mentions Parahuman surfaces, for example replying to a post, you are responsible for following the terms of the platform it came from and any laws that apply.

Your data and monitored content

You own the data you bring to the Service, and you own the outputs generated for your workspace. Because Parahuman processes publicly available content on your instructions, you are responsible for using that content lawfully, including complying with the source platforms’ terms and with the privacy laws that apply when you engage with the people behind those mentions. How we handle personal data is described in our Privacy Policy.

Intellectual property

Parahuman and everything in it (the software, design, and content we create) belongs to us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. These Terms don’t transfer any of our intellectual property to you.

Feedback

If you send us ideas or suggestions, we’re grateful, and we may use them to improve the Service without any obligation to you.

Third-party services

The Service connects to third-party platforms and integrations, such as Slack and the social platforms we monitor. We don’t control those services and aren’t responsible for them. Your use of them is governed by their own terms.

Availability and changes

We work hard to keep Parahuman running and use commercially reasonable efforts to keep it available, but we don’t guarantee it will be uninterrupted or error-free. We may update, change, or discontinue features, and we may perform maintenance that temporarily affects the Service. We aim to keep the Service available at least 99.9% of the time each month, excluding planned maintenance. This is a target, not a guarantee, and does not entitle you to service credits.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the mentions or insights we surface are complete or accurate.

Limitation of liability

To the fullest extent permitted by law, Parahuman won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.

Indemnification

You agree to defend and indemnify Parahuman against claims, losses, and expenses arising from your misuse of the Service, your violation of these Terms, or your unlawful use of the content the Service surfaces.

Term and termination

These Terms apply for as long as you use the Service. You can stop and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. When your account ends, your right to use the Service stops, and the sections that by their nature should survive, such as intellectual property, disclaimers, and limitation of liability, will continue to apply.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we’ll update the date at the top and, where appropriate, notify you. Continuing to use Parahuman after a change means you accept the updated Terms.

Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and Parahuman regarding the Service. If any part is found unenforceable, the rest still applies. Our not enforcing a right isn’t a waiver of it. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of assets.
